1) Scope

1.1 These General Terms and Conditions (hereinafter referred to as "GTC") of Stephen Hoffmann, trading under the name "MeDiTA-Pro GmbH" (hereinafter referred to as "Seller"), apply to all contracts for the delivery of goods that a consumer or entrepreneur (hereinafter referred to as "Customer") concludes with the Seller with regard to the goods presented by the Seller in its online shop. The inclusion of the Customer's own terms and conditions is hereby rejected, unless otherwise agreed.

1.2 A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor their independent professional activity.

1.3 An entrepreneur within the meaning of these General Terms and Conditions is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity.

2) Conclusion of contract

2.1 The product descriptions contained in the seller's online shop do not constitute binding offers on the part of the seller, but serve to enable the customer to submit a binding offer.

2.2 The customer can submit the offer using the online order form integrated into the seller's online shop. After placing the selected goods in the virtual shopping basket and completing the electronic ordering process, the customer submits a legally binding contractual offer with regard to the goods contained in the shopping basket by clicking the button that completes the ordering process. Furthermore, the customer can also submit the offer to the seller by email, fax, online contact form, post or telephone.

2.3 The seller may accept the customer's offer within five days - by sending the customer a written order confirmation or an order confirmation in text form (fax or email), whereby receipt of the order confirmation by the customer is decisive, or - by delivering the ordered goods to the customer, whereby receipt of the goods by the customer shall be decisive, or - by requesting payment from the customer after the customer has placed their order. If several of the above alternatives apply, the contract shall be concluded at the point in time at which one of the above alternatives occurs first. The period for accepting the offer begins on the day after the customer sends the offer and ends at the end of the fifth day following the sending of the offer. If the seller does not accept the customer's offer within the aforementioned period, this shall be deemed a rejection of the offer, with the result that the customer is no longer bound by their declaration of intent.

2.4 When submitting an offer via the seller's online order form, the contract text will be stored by the seller after conclusion of the contract and sent to the customer in text form (e.g. e-mail, fax or letter) after the customer has submitted their order. The seller will not make the contract text available in any other way. If the customer has set up a user account in the seller's online shop before sending their order, the order data will be archived on the seller's website and can be accessed by the customer free of charge via their password-protected user account by entering the relevant login details.

2.5 Before submitting a binding order via the seller's online order form, the customer can identify any input errors by carefully reading the information displayed on the screen. An effective technical means of better recognising input errors can be the browser's zoom function, which enlarges the display on the screen. During the electronic ordering process, the customer can correct their entries using the usual keyboard and mouse functions until they click on the button that completes the ordering process.

2.6 The contract may be concluded in German.

2.7 Orders are usually processed and contact is usually made by e-mail and automated order processing. The customer must ensure that the email address provided for order processing is correct so that emails sent by the seller can be received at this address. In particular, when using spam filters, the customer must ensure that all emails sent by the seller or third parties commissioned by the seller to process the order can be delivered.

3) Right of withdrawal

3.1 Consumers are generally entitled to a right of withdrawal.

3.2 Further information on the right of withdrawal can be found in the seller's withdrawal policy.

4) Prices and terms of payment

4.1 Unless otherwise stated in the seller's product description, the prices quoted are total prices that include statutory value added tax. Any additional delivery and shipping costs will be stated separately in the respective product description.

4.2 The payment option(s) will be communicated to the customer in the seller's online shop.

4.3 If advance payment by bank transfer has been agreed, payment is due immediately after conclusion of the contract, unless the parties have agreed on a later due date.

4.4 If a payment method offered via the payment service "Mollie" is selected, payment processing will be carried out by the payment service provider Mollie B.V., Keizersgracht 313, 1016 EE Amsterdam, Netherlands (hereinafter: "Mollie"). The individual payment methods offered via Mollie will be communicated to the customer in the seller's online shop. Mollie may use other payment services to process payments, for which special payment terms may apply, which will be communicated to the customer separately if necessary. 5) Delivery and shipping conditions

5.1 If the seller offers to ship the goods, delivery shall be made within the delivery area specified by the seller to the delivery address specified by the customer, unless otherwise agreed. The delivery address specified in the seller's order processing is decisive for the transaction.

5.2 If delivery of the goods fails for reasons for which the customer is responsible, the customer shall bear the reasonable costs incurred by the seller as a result. This does not apply to the costs of delivery if the customer effectively exercises their right of withdrawal. In the event of the customer effectively exercising their right of withdrawal, the provisions set out in the seller's withdrawal policy shall apply to the return shipping costs.

5.3 If the customer is acting as a business, the risk of accidental loss and accidental deterioration of the goods sold shall pass to the customer as soon as the seller has delivered the goods to the forwarding agent, the carrier or any other person or institution designated to carry out the shipment. If the customer is acting as a consumer, the risk of accidental loss and accidental deterioration of the goods sold shall generally only pass to the customer or an authorised recipient upon delivery of the goods. Notwithstanding this, the risk of accidental loss and accidental deterioration of the goods sold shall also pass to the customer in the case of consumers as soon as the seller has delivered the goods to the forwarding agent, the carrier or any other person or institution designated to carry out the shipment, if the customer has commissioned the forwarding agent, the carrier or any other person or institution designated to carry out the shipment and the seller has not previously named this person or institution to the customer.

5.4 The seller reserves the right to withdraw from the contract in the event of incorrect or improper delivery to itself. This shall only apply if the seller is not responsible for the non-delivery and has concluded a specific covering transaction with the supplier with due care. The seller shall make every reasonable effort to procure the goods. In the event of non-availability or only partial availability of the goods, the customer shall be informed immediately and the consideration shall be refunded without delay.

5.5 For logistical reasons, collection by the customer is not possible.

6) Retention of title

If the seller makes advance delivery, it retains title to the delivered goods until the purchase price owed has been paid in full.

7) Liability for defects (warranty)

Unless otherwise specified in the following provisions, the statutory provisions on liability for defects shall apply. Notwithstanding this, the following shall apply to contracts for the delivery of goods:

7.1 If the customer is acting as a business,

- the seller may choose the type of subsequent performance;

- for new goods, the limitation period for warranty claims is one year from delivery of the goods;

- warranty claims are excluded for used goods;

- the limitation period does not recommence if a replacement delivery is made within the scope of liability for defects.

7.2 The above limitations of liability and reductions in time limits shall not apply

- to claims for damages and reimbursement of expenses by the customer,

- in the event that the seller has fraudulently concealed the defect,

- for goods that have been used for a building in accordance with their normal use and have caused its defectiveness,

- for any obligation on the part of the seller to provide updates for digital products in the case of contracts for the delivery of goods with digital elements.

7.3 Furthermore, for entrepreneurs, the statutory limitation periods for any existing statutory right of recourse remain unaffected.

7.4 If the customer acts as a merchant within the meaning of Section 1 of the German Commercial Code (HGB), they are subject to the commercial obligation to inspect and give notice of defects in accordance with Section 377 HGB. If the customer fails to comply with the notification obligations stipulated therein, the goods shall be deemed to have been approved.

7.5 If the customer is acting as a consumer, they are requested to complain to the delivery agent about any goods delivered with obvious transport damage and to inform the seller thereof. If the customer fails to do so, this shall have no effect on their statutory or contractual claims for defects.

8) Liability

The seller shall be liable to the customer for all contractual, quasi-contractual and statutory claims, including tortious claims for damages and reimbursement of expenses, as follows:

8.1 The seller shall be liable without limitation for any legal reason

- in the event of intent or gross negligence,

- in the event of intentional or negligent injury to life, limb or health,

- on the basis of a guarantee promise, unless otherwise specified,

- on the basis of mandatory liability, such as under the Product Liability Act.

8.2 If the seller negligently breaches a material contractual obligation, liability shall be limited to the foreseeable damage typical for this type of contract, unless unlimited liability applies in accordance with the above clause. Essential contractual obligations are obligations which the contract imposes on the seller according to its content in order to achieve the purpose of the contract, the fulfilment of which is essential for the proper execution of the contract and on the observance of which the customer may regularly rely.

8.3 Otherwise, the Seller shall not be liable.

8.4 The above liability provisions shall also apply with regard to the Seller's liability for its vicarious agents and legal representatives.

9) Applicable law

The law of the Federal Republic of Germany shall apply to all legal relationships between the parties, excluding the laws on the international sale of movable goods. In the case of consumers, this choice of law shall only apply insofar as the protection granted by mandatory provisions of the law of the country in which the consumer has his habitual residence is not withdrawn.

10) Alternative dispute resolution

The seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

A. Cancellation policy

Introduction

Consumers are entitled to a right of cancellation in accordance with the following provisions, whereby a consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor their independent professional activity:

Right of cancellation

You have the right to cancel this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, took possession of the last goods.

To exercise your right of withdrawal, you must inform us (Stephen Hoffmann, MeDiTA-Pro, Bürgermeister-Wegele-Str. 12, 86167 Augsburg, Germany, Tel.: 0821 4370399900, Email: kontakt@medita-pro.de) of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or email). You can use the attached sample withdrawal form for this purpose, but this is not mandatory. To meet the cancellation deadline, it is sufficient for you to send your notification of exercising your right of cancellation before the cancellation period expires.

Consequences of revocation

If you withdraw from this contract, we shall reimburse you for all payments we have received from you, including delivery costs (with the exception of additional costs resulting from your choice of a type of delivery other than the cheapest standard delivery offered by us), without delay and at the latest within fourteen days of the day on which we receive notification of your withdrawal from this contract. We will use the same means of payment for this refund as you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged for this refund. We may refuse to refund until we have received the goods back or until you have provided proof that you have returned the goods, whichever is earlier.

You must return or hand over the goods to us immediately and in any case no later than fourteen days from the date on which you notify us of your withdrawal from this contract. The deadline is met if you send the goods before the expiry of the fourteen-day period. You shall bear the direct costs of returning the goods. You shall only be liable for any loss in value of the goods if this loss in value is attributable to handling of the goods that is not necessary for testing their condition, properties and functionality.

Exclusion or premature expiry of the right of withdrawal

The right of withdrawal expires prematurely in the case of contracts for the delivery of sealed goods that are not suitable for return for reasons of health protection or hygiene if their seal has been removed after delivery.

If you subscribe to our email newsletter, we will send you regular information about our offers. The only mandatory information required for sending the newsletter is your email address. The provision of further data is voluntary and will be used to address you personally. 8.1 Collection and processing of health data

The processing of personal health data may be necessary in order to process orders for medicinal products. 8.2 Insofar as necessary for the execution of the contract for delivery and payment purposes, the personal data collected by us will be passed on to the commissioned transport company and the commissioned credit institution in accordance with Art. 6 (1) lit. b GDPR. If we owe you updates for goods with digital elements or for digital products on the basis of a corresponding contract, we will process the contact details you provided when placing your order in order to inform you personally within the scope of our legal information obligations in accordance with Art. 6 (1) lit. c GDPR. Otherwise, we will only pass on the name of the recipient and the delivery address to the provider for the purpose of delivery in accordance with Art. 6 (1) lit. b GDPR. The data will only be passed on if this is necessary for the delivery of the goods. In this case, it is not possible to coordinate the delivery date with the supplier in advance or to notify the supplier of the delivery. - UPS

As a transport service provider, we use the following provider: United Parcel Service Deutschland Inc. & Co. OHG, Görlitzer Straße 1, 41460 Neuss, Germany We will pass on your email address and/or telephone number to the provider in accordance with Art. 6 (1) (a) GDPR prior to delivery of the goods for the purpose of coordinating a delivery date or to notify you of delivery, provided that you have given your express consent to this during the ordering process. Otherwise, we will only pass on the name of the recipient and the delivery address to the supplier for the purpose of delivery in accordance with Art. 6 (1) lit. b GDPR. The data will only be passed on if this is necessary for the delivery of the goods. In this case, it is not possible to coordinate the delivery date with the supplier in advance or to notify the supplier of the delivery. 8.4 Use of payment service providers (payment services)

- Apple Pay

If you choose the "Apple Pay" payment method from Apple Distribution International (Apple), Hollyhill Industrial Estate, Hollyhill, Cork, Ireland, payment will be processed via the "Apple Pay" function on your iOS, watchOS or macOS device by debiting a payment card stored with "Apple Pay". Apple Pay uses security features built into your device's hardware and software to protect your transactions. To authorise a payment, you must enter a code that you have previously set and verify it using the Face ID or Touch ID function on your device. For the purpose of payment processing, the information you provide during the ordering process, together with the information about your order, will be transmitted to Apple in encrypted form. Apple then encrypts this data again with a developer-specific key before transmitting it to the payment service provider of the payment card stored in Apple Pay to execute the payment. The encryption ensures that only the website through which the purchase was made can access the payment data. After the payment has been made, Apple sends your device account number and a transaction-specific, dynamic security code to the originating website to confirm that the payment was successful.

If personal data is processed during the transfers described above, the processing is carried out exclusively for the purpose of payment processing in accordance with Art. 6 (1) (b) GDPR. Apple stores anonymised transaction data, including the approximate purchase amount, the approximate date and time, and whether the transaction was successfully completed. Anonymisation completely excludes any personal reference. Apple uses the anonymised data to improve Apple Pay and other Apple products and services. When you use Apple Pay on your iPhone or Apple Watch to complete a purchase you made using Safari on your Mac, your Mac and the authorisation device communicate via an encrypted channel on Apple's servers. Apple does not process or store any of this information in a format that can be used to identify you. You can disable the option to use Apple Pay on your Mac in your iPhone settings. - Google Pay

If you choose the "Google Pay" payment method from Google Ireland Limited, Gordon House, 4 Barrow St, Dublin, D04 E5W5, Ireland ("Google"), payment will be processed via the "Google Pay" application on your mobile device running at least Android 4.4 ("KitKat") and equipped with NFC functionality by debiting a payment card stored with Google Pay or a payment system verified there (e.g. PayPal). To authorise a payment via Google Pay in excess of €25, you must first unlock your mobile device using the verification method you have set up (e.g. facial recognition, password, fingerprint or pattern). For the purpose of payment processing, the information you provide during the ordering process, together with the information about your order, will be passed on to Google. Google then transmits your payment information stored in Google Pay to the originating website in the form of a one-time transaction number, which is used to verify that the payment has been made. This transaction number does not contain any information about the actual payment details of your payment methods stored with Google Pay, but is created and transmitted as a one-time valid numerical token. For all transactions via Google Pay, Google acts solely as an intermediary for processing the payment transaction. The transaction is carried out exclusively between the user and the originating website by debiting the payment method stored with Google Pay. If personal data is processed during the transfers described, the processing is carried out exclusively for the purpose of payment processing in accordance with Art. 6 (1) lit. b GDPR. Google reserves the right to collect, store and evaluate certain transaction-specific information for each transaction made via Google Pay. This includes the date, time and amount of the transaction, the merchant's location and description, a description of the goods or services purchased provided by the merchant, photos you have attached to the transaction, the name and email address of the seller and buyer or sender and recipient, the payment method used, your description of the reason for the transaction and, if applicable, the offer associated with the transaction. According to Google, this processing is carried out exclusively in accordance with Art. 6(1)(f) GDPR on the basis of the legitimate interest in proper accounting, verification of transaction data and the optimisation and maintenance of the Google Pay service. Google also reserves the right to combine the processed transaction data with other information collected and stored by Google when using other Google services.
